Terms of Service

Welcome to Lumifin. These Terms of Service (“Terms”) govern your access to and use of the Lumifin website, application, and consulting services (collectively, the “Service”) provided by Lumifin LLC (“Lumifin”, “we”, “us”).

By creating an account, accessing the application, or booking a consulting session, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms work together with our Privacy Policy and Disclaimer, which are incorporated by reference.

Your Account

Accurate account information — When you create your account, please provide your real name, a working email address, and correct profile details (such as birth year and filing status). Update them if they change.
Your financial data is yours — You decide what financial information to enter into the application. Accurate, up-to-date numbers will produce more useful projections, but you are free to enter rounded figures, hypothetical balances, or test scenarios. Lumifin’s projections are only as reliable as the data you provide.
Credential security — You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
One person per account — Each account is for the use of a single individual. You may not share your account, login credentials, or access with others. (See “Acceptable Use” below.)
Notify us of unauthorized access — If you suspect your account has been accessed without authorization, contact us immediately at hello@lumifin.co.

The Service

Lumifin is a financial decision-modeling tool. The Service may include:

The Lumifin web application, including projection engines, scenario tools, and reports
Paid consulting sessions (such as Assessment and Optimization packages)
Educational content, guides, and email communications

We may modify, add, or discontinue features of the Service at any time. Where reasonably possible, we will provide advance notice of material changes that affect paid users.

License to Use Lumifin

Subject to your compliance with these Terms, Lumifin grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial financial planning.

This license does not include any right to use the Service to provide financial advice, planning, or modeling services to third parties, whether for compensation or otherwise, except under a separate written agreement with Lumifin (such as our planner partner program).

Acceptable Use & Prohibited Conduct

You agree not to do any of the following, and not to permit anyone else to do so on your behalf:

No copying or reproduction — Copy, reproduce, distribute, publish, display, or create derivative works of any part of the Service, including the user interface, layout, content, or output formats
No reverse engineering — Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, models, or methodologies underlying the Service
No competing products — Use the Service, or any data or output obtained from it, to develop, train, or improve a competing product, service, or model
No scraping or automated access — Use any robot, scraper, crawler, or other automated means to access, extract, or collect data from the Service, except for standard search engine indexing of public pages
No resale or sublicensing — Sell, resell, rent, lease, sublicense, or otherwise commercially exploit access to the Service
No account sharing — Share your login credentials, transfer your account, or allow multiple individuals (including family members or coworkers) to use a single account
No removal of notices — Remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notices on materials produced by the Service (including exported PDFs and reports)
No interference — Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or any related systems or networks
No unlawful use — Use the Service in any manner that violates applicable law or the rights of others

We reserve the right to suspend or terminate accounts that violate these restrictions, and to pursue all available legal remedies.

Your Data

You retain ownership of the financial information, scenarios, goals, and other data you provide to Lumifin (“Your Data”). You grant Lumifin a limited license to store, process, and display Your Data solely as needed to operate the Service for you.

We do not sell, rent, or share Your Data with third parties for advertising or marketing purposes. For full details on how we collect, store, and protect Your Data, see our Privacy Policy.

You are responsible for the accuracy of the information you provide. The Service’s outputs depend on your inputs; inaccurate or incomplete data will produce inaccurate or incomplete projections.

Payments, Subscriptions & Refunds

Consulting sessions — Paid sessions (such as Assessment and Optimization packages) are billed at the rate disclosed at the time of booking. Fees are non-refundable once a session has been delivered.
Subscriptions — If you purchase a subscription that includes ongoing access to the application, fees are billed in advance for the subscription term. Subscriptions renew automatically unless cancelled before the renewal date.
Cancellation — You may cancel a subscription at any time. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods unless required by law.
Taxes — Fees are exclusive of any applicable sales, use, or value-added taxes, which are your responsibility.
Payment processor — Payments are processed by our third-party payment provider. We do not store full payment card numbers.

Intellectual Property

The Service, including all software, designs, text, graphics, logos, images, financial models, calculations, methodologies, projections, scenario structures, report formats, and other content (collectively, “Lumifin Content”), is owned by Lumifin LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

“Lumifin”, the Lumifin logo, “Confidence Spend”, and other product names are trademarks of Lumifin LLC. You may not use them without our prior written permission.

Except for the limited license granted above, no rights are transferred to you under these Terms. All rights not expressly granted are reserved.

Beta Program & Confidentiality

If you participate in the Lumifin beta or other early-access program, you may receive access to features that are still in development. You agree:

Not to publicly disclose, screenshot for distribution, or write reviews of unreleased features without our prior written permission
That beta features are provided “as is” and may contain bugs, change without notice, or be discontinued
That feedback you provide may be used to improve the Service (see “Feedback” above)

Termination

You may stop using the Service at any time and request account deletion (see Privacy Policy).

We may suspend or terminate your access — with or without notice — if we believe you have violated these Terms, abused the Service, or engaged in conduct that may harm Lumifin or other users. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free or that projections will match actual future outcomes.

Lumifin is not a registered investment adviser, broker-dealer, tax preparer, or law firm. Nothing in the Service constitutes financial, investment, tax, or legal advice. For full details, see our Disclaimer.

Limitation of Liability

To the maximum extent permitted by law, Lumifin LLC and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, savings, or data, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to the Service is limited to the greater of (a) the total fees you paid to Lumifin in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Indemnification

You agree to indemnify and hold harmless Lumifin LLC and its officers, employees, contractors, and affiliates from any claim, demand, loss, or damage (including reasonable attorneys’ fees) arising out of:

Your use of or access to the Service
Your violation of these Terms
Your violation of any law or third-party right

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

Update the “Last Updated” date at the top of this page
Notify active users by email when the changes are significant
Post the updated Terms on our website

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and request account deletion.

Governing Law & Disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to the personal jurisdiction of those courts.

General

Entire agreement — These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Lumifin regarding the Service.
Severability — If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
No waiver — Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment — You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
No agency — These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Lumifin.
